1. Services

Groofle provides digital marketing services including but not limited to web design, branding, social media management, advertising, influencer marketing, and content creation. The scope of services will be defined and agreed upon with each client before the start of any project.

2. Client Responsibilities

Clients agree to:

• Provide accurate and complete information required for the project

• Share necessary access (social media accounts, website, ad accounts, etc.) on time

• Review and approve deliverables within agreed timelines

• Ensure that all provided content complies with applicable laws and regulations

3. Payments & Fees

• All services are provided on a paid basis as agreed in advance

• Payments must be made as per the agreed schedule (upfront, milestone-based, or monthly)

• Late payments may result in delays, suspension, or termination of services

• All fees are non-refundable unless otherwise stated in writing

4. No Guaranteed Results

While we apply proven strategies and best practices, Groofle does not guarantee specific results such as sales, leads, engagement, or growth due to factors beyond our control.

5. Revisions & Approvals

• A reasonable number of revisions may be included, depending on the agreed scope

• Additional revisions or changes outside the scope may incur extra charges

• Once approved, deliverables are considered final

6. Intellectual Property

• All content created by Groofle remains our intellectual property until full payment is received

• Upon full payment, ownership rights may be transferred to the client unless otherwise agreed

• Groofle retains the right to showcase work in its portfolio and marketing materials

7. Third-Party Platforms

Groofle may use third-party platforms (e.g., social media, ad platforms, hosting providers). We are not responsible for:

• Platform outages or technical issues

• Algorithm changes affecting performance

• Policy changes or account restrictions imposed by third parties

8. Confidentiality

Both parties agree to keep confidential any sensitive or proprietary information shared during the course of the project.

9. Termination

• Either party may terminate the agreement with prior notice as agreed

• Any work completed up to the termination date must be paid for

• No refunds will be issued for completed or ongoing work

10. Limitation of Liability

Groofle shall not be held liable for any indirect, incidental, or consequential damages resulting from the use of our services.

11. Changes to Terms

We reserve the right to update or modify these Terms & Conditions at any time. Continued use of our services constitutes acceptance of the updated terms.

12. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.
